Terms and Conditions (AGB)

for the online shop “Skinny Dip”
(Venture Two GmbH – valid from July 08, 2025)

 

1. Scope

1. These Terms and Conditions apply to all orders placed via our online shop by

• consumers (§ 13 BGB), and

• entrepreneurs (§ 14 BGB).

2. We only accept deviating terms of the entrepreneur if we have expressly agreed to them in writing.

3. Deliveries are made exclusively within Germany.

3. Conclusion of Contract & Corrections

1. The product presentation in the shop does not constitute a legally binding offer.

2. By clicking the “Order with obligation to pay” button, you submit a binding purchase offer.

3. We accept your offer within two calendar days at the latest, either by:
a) an explicit order confirmation by email, or
b) execution of the payment transaction by the payment service provider chosen by you – whichever occurs first.

4. Before submitting your order, you may correct your entries at any time using the correction tools provided.

4. Contract Language & Storage

1. The contract language is German.

2. We store the contract text and send you the order data and these Terms and Conditions by email. For security reasons, the contract text is no longer accessible online after completion.

 

5. Prices | Shipping | Delivery

1. All prices are final prices in Euro, including statutory VAT.

2. We deliver free of charge within Germany.

3. Regular delivery time: 2–4 business days from conclusion of contract.

4. The risk of accidental loss passes to consumers only upon delivery to the consumer.
For entrepreneurs, the risk passes to the entrepreneur once the goods have been handed over to the carrier (§ 447 BGB).

7. Retention of Title

1. The goods remain our property until full payment has been made.

2. Extended retention of title for entrepreneurs:

• The goods may be resold in the ordinary course of business; claims arising therefrom are assigned to us in advance in the amount of the invoice value.

• We will release securities if their realizable value exceeds our claims by more than 10%.

8. Right of Withdrawal (Consumers only)

Consumers are entitled to the statutory right of withdrawal. Details can be found at:

9. Warranty

1. For consumers: Statutory warranty rights apply.

2. For entrepreneurs:

• Warranty period: 1 year from transfer of risk (except building materials/structures).

• Obligation of immediate inspection and notification according to § 377 HGB.

• Only our information and manufacturer details expressly included in the contract shall be deemed agreed characteristics.

10. Liability

1. We are liable without limitation

• for intent and gross negligence,

• for injury to life, body, or health,

• under the Product Liability Act,

• and in the case of assumed guarantees.

2. In the event of slightly negligent breach of essential contractual obligations, our liability is limited to the foreseeable, contract-typical damage.

3. Otherwise, claims for damages are excluded.

11. Transport Damage

Consumers are requested to report visible transport damage to the carrier immediately and to inform us – without affecting their statutory rights. For entrepreneurs, § 377 HGB applies.

12. Online Dispute Resolution | Consumer Dispute Resolution

The European Commission provides a platform for Online Dispute Resolution: https://ec.europa.eu/consumers/odr.

We are neither obliged nor willing to participate in a dispute resolution procedure before a consumer arbitration board (§ 36 VSBG).

13. Final Provisions

1. German law shall apply to the exclusion of the UN Convention on Contracts for the International Sale of Goods. For consumers, the mandatory protective provisions of the state in which the consumer has his habitual residence remain applicable.

2. If the customer is a merchant, a legal entity under public law, or a special fund under public law, the exclusive place of jurisdiction is Hamburg.

3. Should individual provisions be invalid, the validity of the remaining provisions remains unaffected.

4. Contract language is German.
